Terms of Service
The terms governing your use of the Morphora platform.
Effective date: March 1, 2026
1. Acceptance of Terms
By accessing or using the Morphora platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Service Description
Morphora is an AI-assisted engineering execution platform that transforms tickets into structured technical implementation. The Service connects to your ticket systems and version control providers to analyze issues, generate implementation plans, produce code changes, and create pull requests for review.
Morphora is a tool that assists engineering teams. All generated code changes are subject to your review and approval before merging. We do not guarantee that generated changes are correct, complete, or free of defects.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Acceptable Use
You agree not to:
- Use the Service to generate malicious code, malware, or code intended to exploit security vulnerabilities
- Attempt to circumvent access controls, rate limits, or security measures
- Use the Service in violation of applicable laws or regulations
- Reverse-engineer, decompile, or disassemble any part of the Service
- Resell or redistribute access to the Service without our written consent
- Submit content that infringes third-party intellectual property rights
5. Your Content and Data
You retain ownership of all code, tickets, and other content you provide to the Service ("Your Content"). You grant us a limited license to access, process, and store Your Content solely to provide the Service. We do not use Your Content to train machine-learning models beyond what is necessary to serve your requests.
Code changes generated by the Service are derived from Your Content and your connected repositories. You are responsible for reviewing all generated changes before merging them into your codebase.
6. Intellectual Property
The Service, including its design, features, documentation, and underlying technology, is owned by Morphora and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.
7. Third-Party Integrations
The Service integrates with third-party platforms (such as GitHub, GitLab, Jira, and Linear). Your use of those platforms is subject to their respective terms and policies. We are not responsible for the availability, accuracy, or practices of third-party services.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Morphora shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.
Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve months preceding the claim.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that generated code changes will be correct, secure, or suitable for production use without review.
10. Termination
You may terminate your account at any time by contacting us or using the account deletion feature. We may suspend or terminate your access if you violate these Terms or if required by law. Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy.
11. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and updating the effective date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
12. Governing Law
These Terms are governed by the laws of Switzerland. Any disputes arising from these Terms or the Service shall be resolved in the courts of Zurich, Switzerland.
